Mr. Waters represents developers, landowners, and local governments in planning, zoning, and real estate development matters, and regularly appears before planning commissions, boards of zoning appeals, city councils, and other governmental entities. He also advises clients in connection with all general real estate matters, including the negotiation and settlement of purchase and sale agreements, commercial leases, development agreements, easements, restrictive covenants, and title matters. Mr. Waters also has experience with tax-deferred "Section 1031" exchanges of real property. His representative experience in these areas includes the following:

• Assisted in closing an $11.5 million sale and purchase of office buildings in northeast Johnson County, Kansas, a project that included the unwinding of industrial revenue bond financing, the assignment and assumption of numerous leases, and the amendment of underlying restrictive covenants governing the use of the property.
• Handled a $13.5 million sale and purchase of a corporate headquarters in Overland Park, Kansas, including a simultaneous 35% "straight" 1031 exchange and a 65% "reverse" 1031 exchange.
• Obtained special use permit approval for a $4 million softball field and stadium facility, and assisted with the defense of a neighboring landowner challenge to the same, such permit approval being ultimately upheld as valid by the Kansas Supreme Court.

Mr. Waters is also experienced in municipal law, representing local counties, cities, community colleges, and school districts in a variety of matters. His municipal law practice includes counseling clients with respect to public financing incentives, including tax increment financing, transportation development districts, and neighborhood improvement districts. Furthermore, Mr. Waters handles design and construction projects, including code compliance, architectural contracts, and construction management and design-build projects. His representative experience in these areas includes the following:

• Assisted with the formation of transportation development districts in Kansas and Missouri, and has helped special project districts comply with state auditing requirements.
• Negotiated architecture, construction, and special project contracts for a $48 million technology center, atrium, and contemporary art museum.
• Currently serves on the City of Westwood, Kansas, Planning Commission and Board of Zoning Appeals, and on the 47th and Mission Road Area Redevelopment and Management Committee.
