Sterling Spainhour practices corporate and securities law, with a primary focus on mergers and acquisitions, corporate governance, corporate counseling, and SEC compliance.

Sterling represents a broad spectrum of public and private companies with businesses throughout the United States, Europe, and Asia. He is actively involved in advising boards of directors and their committees on corporate governance, compliance, and director liability issues. Sterling has substantial experience in merger and acquisition transactions involving a variety of industries in a broad range of domestic and cross-border transactions. He also has worked on several financing transactions, including spin-offs, equity and debt offerings, and private placements of preferred stock. In addition, he has counseled clients on acquisitions and restructurings involving distressed targets and sellers. Sterling's recent significant client representations include Eastman Chemical Company, Flowers Foods, Hagmeyer N.V., Sprint Nextel, UPM-Kymmene, and WL Ross & Co.

In 1999, Sterling joined Cable News Network and represented CNN in equity investments made by the network. He returned to Jones Day in 2000 to resume private practice. He is a member of the State Bar of Georgia where he currently serves as a member of the Executive Committee of the Business Law Section and as editor of the section's newsletter.
