Lisa Rothman Jesner's practice includes counseling clients on benefits and compensation issues and on matters that arise in the course of corporate transactions, lending arrangements, and restructurings.
Lisa has counseled clients on various aspects of bankruptcy matters, including negotiations and litigation with the PBGC regarding pension plan termination and funding and the establishment of VEBAs in connection with modification of retiree benefits in bankruptcy. Lisa has represented debtors and creditors in bankruptcy proceedings, including Chrysler LLC, Copperweld Corporation, Dana Corporation, Globalstar, Kaiser Aluminum & Chemical Corporation, WHX Corporation, and Williams Communications. She also has experience designing, drafting, and implementing compensation plans and arrangements, including compensation programs for distressed companies.
Lisa has applied to the Department of Labor for exemptions from the prohibited transaction requirements of ERISA and has been involved in negotiation of the terms of such exemptions. In addition, she counsels clients on employee benefits-related matters such as severance arrangements, retirement plans, fiduciary matters, and ERISA compliance.
Lisa has held a leadership position on the Employee Benefits and Executive Compensation Committee of the Business Law Section of the ABA and coauthored a Collier Monograph entitled Employee Benefits and Executive Compensation in Corporate Bankruptcy, a chapter on fiduciary duties and bankruptcy in ERISA Fiduciary Law, and for several years coauthored the ERISA litigation chapter for the ABA Annual Review of Developments in Business and Corporate Litigation.
