For more than 25 years, Tom Dutton has helped hospitals, health systems, insurance companies, and large physician groups design and successfully implement cutting-edge integration and delivery strategies. He has handled every type of physician-hospital joint venture (including ASC, diagnostic imaging, cancer center, and specialty/whole hospital syndications), co-management and gainsharing arrangements, physician practice acquisitions, and the development of provider-based clinics and regulatory-compliant physician employment compensation models. Tom has led deal teams in dozens of hospital, HMO, and insurance company mergers and acquisitions, including innovative whole hospital and service line revenue mergers and those involving distressed companies. Tom has substantial experience advising companies on Stark Law matters. He is co-chair of the Firm's Health Care Practice.
Representative matters include: counseling ProMedica Health System regarding its acquisition and employment of the leading cardiology practice in Northwest Ohio, representing Catholic Health Initiatives in developing the Louisville joint venture of its Caritas Health operations and those of Jewish Hospital Healthcare System, developing cardiovascular and orthopedic service line co-management arrangements for Tucson Medical Center, helping City of Hope National Medical Center navigate its way through the complex Stark Law considerations governing its arrangements with its exclusive medical group, and representing the Creditors Committee of the Allegheny Health Education and Research Foundation in the sale through bankruptcy of its hospital operations in Philadelphia and Pittsburgh.
Tom is a frequent lecturer at national conferences on the latest models for physician-hospital integration, Stark Law compliance, and other health law issues and has authored numerous articles on health law-related topics.
