Mr. Graham's principal focus is on financial and corporate transactions. He has a broad range of expertise involving (i) all aspects of financing for both lender and borrower, including secured and unsecured lending, tax-exempt financing, construction lending, loans to community development corporations, asset-based financing, conduit financings, governmental and tax assisted financing, and refinancings, as well as regulatory and compliance issues, environmental issues, loan workouts and restructures; (ii) general corporate law, including issues involving start-up companies and entrepreneurs, venture capital, mergers and acquisitions, new business formations, financing and franchising; (iii) real estate transactions, including purchase, sale, leasing, environmental matters, construction, development and financing; and (iv) banking law, including all aspects of the credit relationship, regulatory matters and operational matters. Other legal experience includes corporate and general business matters such as stock and asset acquisitions and dispositions. Mr. Graham managed the Financial Institutions Department of the firm for many years. In addition, Mr. Graham is a speaker and panelist at seminars and in-house programs on financing and banking matters and other topics.
