David Phillips has extensive experience in a broad range of corporate transactions, including mergers and acquisitions, representation of both funds and issuers in venture capital investments, the formation of private equity funds, and securities transactions.
Representative transactions include a $500 million private equity investment in Cumulus Media Inc. by Crestview Partners, Macquarie Capital, and UBS Securities; the $1.6 billion acquisition of Royal Group Technologies by Georgia Gulf; the $419 million divestiture by Eastman Chemical Company of its interest in Genencor International; the $173 million sale of Argo-Tech Corporation to an investor group composed of Greenbriar Equity Group, Vestar Capital Partners, and management; the management buyout of Hardin Construction Company; the recapitalization of Peter Brasseler Holdings by an investor group led by its CEO and Carousel Capital Partners; the $160 million sale of Series D convertible preferred stock by NewSouth Holdings to KKR; the formation of Noro-Moseley Partners VI, L.P., a $120 million venture capital fund; and the formation of GRA Venture Fund, LLC, an early-stage seed-capital fund. While seconded to client Toyota Motor Corporation for one year in Japan, he worked on a number of cross-border transactions.
David is an adjunct professor at Emory University's School of Law where he teaches seminars on drafting commercial agreements and transactional law practice.
David is a member of the Southern Capital Forum and also serves on the board of directors of the Georgia Justice Project, a nonprofit organization founded to provide indigent legal defense, social services, and employment programs.
