Chuck Pauly
Chuck Pauly has been practicing law for more than 36 years. He practiced law in Dallas, Texas for 15 years with large law firms and primarily represented privately owned businesses. His clients now include a publicly traded Fortune 500 company. Chuck’s real estate experience began in 1977 representing a developer of residential real estate. That experience then spread to builders and syndicators of multi-family residential properties and expanded to include landlords and tenants; lenders to commercial and residential real estate developers; borrowers on commercial and residential properties; general contractors and subcontractors, leasing (landlord/tenant), disposition, liquidation, and recapitalization.
Chuck’s practice spans all major types of real estate such as office, industrial, retail, multifamily, condominiums, single family residential, farms and dental and medical facilities. In this practice, Chuck works with multiple institutional commercial and industrial property owners for whom he negotiates and closes real estate purchases, negotiates construction contracts, handles sales of raw and improved property and negotiates leases. On the leasing side, Chuck has represented landlords and tenants in numerous lease transactions involving a very large amount of rentable square feet of space and has negotiated ground leases, build-to-suit contracts and a variety of construction contracts for manufacturing facilities. Chuck has also counseled an investment fund seeking to acquire or take equity positions in under-performing real estate loans. His representations often require the coordination and supervision of teams of personnel to perform due diligence, the documentation and negotiation of investment, acquisition, financing, construction and sale documents.
Chuck represents multiple corporations on a nationwide basis as both purchasers and sellers in real estate transactions, as well as representing those clients on a nationwide basis in connection with their leasing, warehousing and employee relocation requirements.
In addition to his real estate practice, Chuck’s clients have been involved in a variety of manufacturing, distribution, retail, and services industries, including trucking, aviation, and insurance, as well as feature films and music. Chuck's experiences in financial matters include privately placed debt securities, venture capital, lending, restructurings, and workouts. His representation has included sales and acquisitions of companies, corporate mergers, and in years past, a broad range of litigation involving lenders, borrowers, builders, oil and gas operators, and corporate shareholders. As a practical matter, Chuck has served as an outside General Counsel to many of the hundreds of clients he has represented during his career.
