Stuart Ogg represents issuers, underwriters, and investors in a variety of capital markets transactions, including public and Rule 144A debt and equity offerings, debt restructurings and recapitalizations, tender offers and exchange offers, and private equity and venture capital investments. Stuart also has extensive experience in public and private merger and acquisition transactions. Stuart regularly counsels clients on general federal securities law issues, NYSE and NASDAQ listing compliance, SEC disclosure and reporting, and corporate governance matters, including Sarbanes-Oxley Act compliance.
Notable recent representations have included the initial public offering and NYSE listing of depositary shares by MagnaChip Semiconductor Corporation, a public convertible notes offering by Dendreon Corporation, a public debt offering and related debt tender offer on behalf of Citigroup Global Markets as underwriter and dealer manager, and public registered direct and at-the-market common stock offerings by Thomas Properties Group.
Stuart currently serves on the board of directors of the L.A. County Bar Foundation, a nonprofit charitable organization providing grants to Los Angeles area organizations that support access to legal services for the underprivileged.
