Andrew Nagel is a partner in the Corporate and Transactional Department, and is chair of the Mergers and Acquisitions Practice Group. He joined the firm in 2010.
Practice
Mr. Nagel focuses his practice on public and private mergers and acquisitions and activist shareholder matters. He also maintains an active practice in capital markets, corporate governance, private equity and restructuring matters. Mr. Nagel has represented investment banks, hedge funds, and private equity firms, as well as technology, broadcasting and manufacturing companies.
Prior to joining WilmerHale, Mr. Nagel spent thirteen years in the corporate practice at a Kirkland & Ellis LLP in New York, where he was a partner since 1999. From 1993 to 1997, Mr. Nagel was a corporate associate at Cravath Swaine & Moore in New York.

Mr. Nagel's representative experience includes:
- Representing HMS Holdings Corp., a public health care services company, in connection with its acquisition of privately held HealthDataInsights, Inc.
- Represented Merck KGaA in connection with its acquisition of Amnis Corporation, a Seattle-based corporation manufacturer and marketer of high-speed cell imaging instrumentation
- Represented Shinogi USA in its purchase of assets from Victory Pharma, Inc., including seven treatments for pain and two for infectious diseases, such as the pain drug Naprelan®
- Represented the Special Committee of Board of Directors of Harbinger Group Inc. in connection with Harbinger Group's acquisitions of insurance company Fidelity & Guaranty Life and a majority of the stock of global consumer products company Spectrum Brands Holdings, Inc.
- Represented Pershing Square Capital Management LP in connection with a bid to nominate a slate of five candidates to the Board of Directors of Target Corp.
- Represented 3G Capital in connection with its successful proxy contest related to CSX Corporation
- Represented Dade Behring Holdings Inc. in connection with its $7 billion sale to Siemens
- Represented MedPointe Inc. in connection with its $800 million sale to Meda AS
- Represented Solutia Inc. in the sale of its nylon business to SK Capital Partners
- Represented Belden Inc. in connection with its offering of $350 million of senior subordinated notes
- Represented Alpharma Inc. in connection with its offering of $300 million of convertible notes
- Represented Citadel Broadcasting Corp. in connection with its $3 billion “Reverse Morris Trust” merger with the ABC Radio assets of The Walt Disney Company
- Represented the Special Committee of the Board of Directors of Net2Phone, Inc. in connection with the acquisition of Net2Phone by its majority stockholder, IDT Corporation
- Represented Forstmann Little & Co. in connection with its acquisitions of 24 Hour Fitness, IMG Worldwide and ENK International
- Represented Integrated Circuit Systems, Inc. in connection with its $3 billion merger of equals with Integrated Device Technology, Inc.
- Represented Cable Design Technologies Corporation in connection with its $1 billion merger of equals with Belden Inc.
