Sam has been actively engaged in all types of securities and business transactions since 1969. Sam represents issuers, underwriters, selling group members, private placement sales agents, and selling shareholders. Sam also represents companies, boards of directors, special committees, and investment bankers in a variety of securities offerings and going private transactions and mergers and acquisitions. Sam has structured and drafted contracts for a variety of business transactions and joint ventures both in the United States, the United Kingdom, the Republic of South Africa, Morocco, and Mozambique. Sam has appeared as an expert witness or litigation advisor in several court actions and many NASD arbitrations. Sam also has represented several clients in negotiating and documenting bank credit facilities.

Sam is also a Public Arbitrator for the National Association of Securities Dealers, Inc.
