Ward Winslow practices in the areas of corporate finance, with a focus on complex financings and restructurings, and other general corporate law. He has significant experience representing issuers and underwriters in public and private securities offerings and other capital markets transactions.
In addition to his transactional work, Ward serves as outside securities counsel to a number of public companies, regularly advising clients and counseling boards of directors and their committees on a broad range of corporate governance, disclosure, and compliance matters, including Sarbanes-Oxley, executive compensation, fiduciary duties, and disclosure policies and related issues.
Recently, he has worked closely with Abbott Laboratories, FleetPride, FTD Group, Kraft Foods, Potash Corporation of Saskatchewan, Tarragon, and ThreeSixty Sourcing Ltd.
