Andrew's practice is concentrated in the representation of private equity funds, including leveraged buyout funds, distressed company funds, venture capital funds, and fund of funds. His principal activities on behalf of funds include fund formation, leveraged buyout transactions, venture capital financing and counseling on investor relations, regulatory compliance, and general corporate matters. Andrew also represents investors and investment advisers in evaluating private equity offerings. Representative clients in recent matters include: The Riverside Company, Morgenthaler, Primus Venture Partners, Kirtland Capital Partners, Resilience Capital Partners, Maverick Capital, National City Equity Partners, Key Principal Partners, and The Townsend Group.

Andrew is a certified public accountant (inactive) in Ohio and, prior to attending law school, was a senior tax associate in the Cleveland office of Andersen LLP.
