Todd’s work experience includes representing banks and other financial institutions in structuring, negotiating and documenting a variety of commercial finance transactions, with a specialty in asset-based financing. Most recently, he has represented institutional lenders in complex loan restructuring transactions and lead lenders in multibank, syndicated credit facilities. He has also been active in a variety of acquisition financing transactions, representing both senior lenders and mezzanine lenders.

Todd has helped to develop comprehensive form loan documents and loan closing/administration procedures for several of his local commercial lending clients. He regularly counsels clients on legal issues relating to commercial finance, which often includes discussing structuring points during the underwriting phase of the transaction.

Todd represents borrowers in commercial financing transactions, including multistate real estate transactions, acquisition financings and construction loans. He also represents both lenders and borrowers in connection with mortgage warehouse lines of credit and loan purchase/sale transactions. His commercial lending experience also includes representing banks and other financial institutions in franchise finance transactions, construction and permanent real estate financing transactions, tax-exempt financings involving the issuance of letters of credit, and lease finance transactions. In addition, Todd has represented a variety of companies in connection with commercial real estate purchases and sales, commercial lease transactions and equipment leasing matters.

Recent representative transactions include serving as:

  • Agent’s counsel to a national bank in connection with a $60 million multi-lender, syndicated senior asset-based revolving credit facility financing the strategic acquisition of a competitor in the telecommunications industry;
  • Agent’s counsel to a national bank in connection with a $50 million multi-lender, syndicated senior revolving credit facility secured by real estate and personal property as part of a complex loan workout and capital structure reorganization of a lumber company;
  • Agent’s counsel to a national bank in connection with a $60 million multi-lender, syndicated senior asset-based revolving credit facility financing the acquisition of a large regional distributor and involving private equity investment and mezzanine financing;
  • Senior lender’s counsel to a large regional lender in connection with $27 million revolving credit and term loan facilities financing management buyout of a large regional company and involving new equity investments and mezzanine financing;
  • Counsel to a national bank in a $35 million asset-based loan to an oil and gas company with operations in three states;
  • Counsel to a national bank in connection with $20 million revolving credit and term loan facilities to an affiliated group of companies in the scrap metal industry, secured by real estate, personal property and pledged equity; and
  • Counsel to a regional non-bank lender in connection with $6 million asset-based revolving credit and term loan facilities to a regional distributor of hydraulic and lubrication products.

Todd has been named a "Rising Star" by Minnesota Law & Politics. Born in Fargo, North Dakota, he received his B.A. summa cum laude in accounting and philosophy from Concordia College and is licensed as a certified public accountant. He received his law degree magna cum laude from the University of Minnesota Law School, where he was elected to the Order of the Coif. Todd joined Briggs in 1999.
