Kimberly Pustulka has a broad corporate background and practices in the areas of corporate finance, securities, and corporate governance. Kimberly has represented a number of issuers and underwriters on a wide variety of public and private corporate financing transactions, including high-yield and investment-grade debt offerings, equity offerings, tender offers, exchange offers, debt restructurings, corporate reorganizations, and mergers and acquisition transactions.
Kimberly also regularly counsels public companies on corporate governance issues and compliance with reporting obligations under the U.S. federal securities laws and stock exchange rules, including obligations under the Sarbanes-Oxley Act.
Companies that Kimberly has represented in recent years include ConAgra Foods, Developers Diversified Realty Corporation, Emcore, Erico, Harsco, NACCO Industries, National City Corporation, Parker Hannifin Corporation, Park-Ohio Corporation, R.H. Donnelley Corporation, and The J.M. Smucker Company. She also has represented investment firms and financial institutions such as Jefferies & Company, KeyBanc Capital Markets, and JPMorgan in corporate finance transactions.
Kimberly is a director of the University at Buffalo Alumni Association, where she serves on the Executive Committee, and is president of the Cleveland chapter of the University at Buffalo Alumni Association. In addition, Kimberly serves on the board of advisors of the Lakewood YMCA. She is also a member of the Ohio State Bar Association and the Cleveland Metropolitan Bar Association.
