David Paulson represents lenders and borrowers nationally in a wide variety of commercial financial transactions, with an emphasis on complex financings, workouts, and restructurings for leading commercial banks and other lenders. David has significant experience representing lenders and borrowers in the negotiation, documentation, workout, foreclosure, and disposition of construction, permanent, shared appreciation, credit enhancement, and other secured and unsecured financings, and in the participation and syndication of loans.
In addition to his financing work, David's practice includes structuring, documentation, and negotiation of commercial real estate transactions involving large office and multi-use projects, hotels, shopping centers, and industrial properties, and he has extensive experience in the representation of hotel operators and owners in matters relating to the development, financing, management, and sale of hotel, resort, and fractional ownership properties and in negotiating and documenting purchase and sale transactions and commercial office and retail leases.
A significant portion of David’s financing practice focuses on workouts and restructurings of troubled credits, with particular emphasis on real estate secured credits and multi-bank syndicated loans to real estate companies. Most recently, David has been engaged in representing agent banks in numerous large homebuilder restructures, as well as lender representations in the workout, foreclosure, and disposition of numerous complex single asset and multi-property secured transactions.
Companies for which David has worked on substantial matters include Allied Irish Banks, Plc; JPMorgan Chase; Wachovia; and Wells Fargo.
David frequently presents seminars and trainings for financial institution clients on all aspects of real estate financing and workouts.
