Stephanie C. Evans is a vice chair in the Corporate Practice Group and partner in the Defense, National Security and Government Contracts, and Financial Institutions Practice Groups. She is also a member of the Mergers and Acquisitions Practice Group. She joined the firm in 1997.
Practice
Ms. Evans has advised domestic and international clients on a wide range of transactions including mergers and acquisitions, joint ventures and strategic alliances, venture and private equity financings, public and private offerings and debt financings. She also has assisted clients with public company securities compliance and commercial transactions. Her practice has involved transactions in a variety of industries including financial services, defense and technology.
From July 2000 to December 2001, Ms. Evans worked as an associate in the Global Investment Banking Group of Deutsche Banc Alex. Brown (now known as Deutsche Bank Securities).

Recent transactions in which Ms. Evans played a prominent role include:
- Representation of ASRC Federal Holding Company in its acquisition of Mission Solutions Engineering, a full-service systems and software engineering provider with expertise in engineering complex and large-scale systems and incorporating open source technology, from CSC.
- The sale of TARGUSinfo to Neustar
- The acquisition by Smiths Interconnect, a division of global technology business Smiths Group plc, of Power Holdings Inc., a leading designer and manufacturer of specialist power distribution, conditioning and monitoring systems, from Bertram Growth Capital I, L.P.
- Representation of Golden Capital Management, a quantitative investment management, in connection with Wells Fargo’s additional investment in GCM and the acquisition of Wells Capital Management’s Boston-based global strategic products team
- The sale by Educational Testing Service of learning, assessment and professional development programs to Northwest Evaluation Association
- The sale by E*Trade of Kobren Insight Management, its investment advisory business
- The acquisition by Educational Testing Service of Computer Assessments and Learning
- The restructuring of ASTAR Air Cargo
- The acquisition by BAE Systems of OASYS Technology
- The sale by Old Mutual (US) Holdings, Inc. of its subsidiary, Thomson, Horstmann & Bryant, Inc. (THB) to members of THB's management
- The acquisition by BAE Systems of Atlantic Marine
- The acquisition by Evercore Partners of MJC Associates, a commercial real estate advisory boutique
- The sale of NYFIX to a subsidiary of NYSE Euronext
- The acquisition by PricewaterhouseCoopers of the commercial services business of BearingPoint
