Justin Ochs is a partner in the firm’s Corporate and Transactional Department and is a member of the Debt Finance and Capital Markets groups. He joined the firm in 2001. Prior to joining WilmerHale, Mr. Ochs was an associate at Cravath, Swaine & Moore in New York.
Practice
Mr. Ochs has extensive experience representing borrowers, private equity sponsors and financial institutions in a wide range of debt financing transactions, including secured and unsecured financings, leveraged buyouts and acquisition financings, bridge loans, first-lien, second-lien, mezzanine and other subordinated debt, working capital facilities, commercial paper programs and letters of credit. He also advises clients on mergers and acquisitions and other general corporate and securities matters.

- Represented professional football franchise in its secured credit facility

- Represented Constar International in its debtor-in-possession and exit financing transactions
- Represented Sinclair Broadcast Group in connection with its tender offer and related exchange offer for various series of convertible notes
- Represented lender group in connection with an out-of-court restructuring of approximately $600 million of indebtedness

- Represented SS&C Technologies in its initial public offering
- Represented test equipment manufacturer in its convertible note offering and related call spread overlay transaction
