Paul Downs' multifaceted international business practice includes cross-border transactions ranging from corporate, securities, finance, and private equity matters to fund formation, licensing, joint ventures, infrastructure, and M&A.
Paul's experience as a director of a New York Stock Exchange-listed company has enhanced his ability to counsel clients on corporate governance and compliance issues. Paul has advised many U.S. and international corporate clients and financial institutions on regulatory compliance and on the extraterritorial impact of U.S. regulation, including the Foreign Corrupt Practices Act (FCPA), the USA Patriot Act, the Office of Foreign Assets Control (OFAC), and anti-money laundering laws.
He has done substantial work in transactions between the U.S. and Europe, with an emphasis on Italy, and has represented a diverse array of U.S. corporations and investors in their business operations in Europe, as well as European companies doing business in the U.S. In addition, Paul has represented Latin American and Asian businesses and investors in complex cross-border transactions.
Paul is a member of the American Bar Association, the Association of the Bar of the City of New York, and the International Bar Association. He serves as a director with the American Foreign Law Association (2007-present), the Council for the United States and Italy (2006-present), and International House, New York (2007-present).
