Zeid, Gary D.

Edward Young is a retired partner in the Corporate Practice Group. He joined the firm in 1975 and retired at the end of 2009. Mr. Young concentrated his practice in mergers and acquisitions, proxy contests, other complex corporate and securities transactions, and corporate counseling. He represented buyers and sellers in mergers and acquisitions in a variety of industries, including technology, biotech, financial products and services, broadcasting, manufacturing, management consulting and retailing.

• Pioneer Tax Advantaged Balanced Fund versus two separate dissident slates (2007)

In addition, Mr. Young advised numerous companies and institutional investors in connection with proxy contests that were settled privately by negotiation and remained confidential.

On the buy side of M&A transactions, Mr. Young represented clients in the acquisitions of companies such as:

• AKI, a manufacturer of computer peripherals

Mr. Young also served as counsel to special committees of independent directors in connection with M&A proposals that involved conflicts of interest.

Mr. Young's practice also encompassed corporate counseling and other complex corporate and securities transactions. These included leveraged buyouts, public and private offerings of securities, partnership syndications and large financing transactions. His clients included publicly-owned and closely-held companies in diverse industries.

Professional Activities

Mr. Young lectured and written about securities law and mergers and acquisitions. He is a member of the Boston Bar Association, and the American Bar Association's Corporation, Banking and Business Law Section, as well as its Committee on Negotiated Acquisitions.

Honors and Awards

Mr. Young was recognized in the November 2004 edition of Boston Magazine as a "Massachusetts Super Lawyer" in the mergers and acquisitions category.
