Young, F. Scott

Cynthia Mazareas is special counsel in the Corporate Practice Group and serves as a member of the Life Sciences Group and the Technology Transactions and Licensing Group. She joined the Firm in 1993.

Practice

Ms. Mazareas represents companies in the life science, medical device and biopharmaceutical industries. She has over 15 years of experience counseling emerging pubic and private companies in venture capital and public securities offerings (IPO, PIPE, registered direct and Rule 144A convertible debt offerings), mergers and acquisitions, strategic alliances, matters of SEC, NASDAQ and Sarbanes-Oxley compliance, and general corporate law and contract issues.

Recent Highlights

• Representation of Infinity Pharmaceuticals in its reverse merger/going public transaction and its strategic equity transaction with Purdue Pharma
• Representation of NitroMed in its IPO, follow-on public offerings and acquisition by Deerfield Management
• Representation of Curis in its strategic equity transactions with Wyeth Pharmaceuticals and Genentech
• Representation of several publicly-traded life science and medical device companies in PIPE, registered direct and Rule 144A convertible debt offerings, including: BioSphere Medical, Curis and NitroMed
• Representation of numerous privately-held life science companies in early-stage, bridge and mezzanine venture capital transactions, including: AVEO Pharmaceuticals, BioBehavioral Diagnostics, Combinent BioMedical Systems, Metamark Genetics, NeurAxon and Prospect Therapeutics 

Professional Activities

Ms. Mazareas is a member of the Massachusetts Biotechnology Council, the Massachusetts Bar Association and the Boston Bar Association.

Ms. Mazareas serves on the Board of Directors of Prize4Life.
