Ray Wiacek's practice involves the tax and business aspects of financial and international transactions, including structured and cross-border financings, mergers and acquisitions, transfer pricing, and international licensing and related planning for intellectual property, as well as disputes with the IRS and foreign governments related to such transactions. He oversees the Firm's global Tax Practice.
Ray led the worldwide team integrating Warner-Lambert and Pharmacia with Pfizer after Pfizer's acquisition of those companies. This included the disposition of nonstrategic assets, such as Schick and Wilkinson Sword to Energizer and Chiclets and Dentyne to Cadbury. He recently negotiated and closed a number of cross-border financings for Bank of America, against many of the leading banks in Europe. He also has favorably resolved tax disputes ranging from the proper pricing of foreign autos and trucks to the validity of synfuel credits and from the effectiveness of an agreement to share R&D costs worldwide to the tax treatment of M&A break up fees.
In addition to Bank of America and Pfizer, representative clients include Bridgestone/Firestone, Dow Corning, Isuzu Motors, Morgan Stanley, Transworld Oil, and United Coal.
Ray has testified on behalf of U.S. multinational corporations with respect to international tax matters before the House Ways and Means Committee, the Senate Finance Committee, the Senate Foreign Relations Committee, and the Internal Revenue Service. He also has served as an adjunct tax professor at Georgetown University Law Center. He is a speaker at forums such as the Institute on Current Issues in International Taxation.
