Brian is a shareholder in the firm of Briggs and Morgan, Professional Association. He is a member of the Executive Committee and serves as head of the firm’s Commercial Department. Brian is also a member of the Business Law Section and practices principally in the areas of:
- Strategic corporate transactions
- Corporate governance
- Mergers and acquisitions
- Securities law
- Intellectual property law
- Subordinated debt lending
Brian represents public and privately held companies, and their boards of directors, in a wide variety of matters, including corporate governance, SEC reporting issues, board and executive compensation, stock and asset acquisitions, divestitures, and joint ventures. Brian also assists families with high and ultra-high net worths in addressing complex estate and business issues and transactions.
Brian concentrates his practice in complex business and commercial transactions, and mergers and acquisitions, which involve several interdisciplinary areas of the law, including finance, intellectual property, securities, contracts, taxation, employment relations, health care, commercial litigation analysis, corporate strategy and governance issues, such as restructuring.
He is a member of the Minnesota and Texas Bar associations. In 2009, Brian was named an "Attorney of the Year" by Minnesota Lawyer. He has also been listed in Minnesota Super Lawyers. He previously served on the Briggs and Morgan board of directors.
Born in Toledo, Ohio, Brian received his B.A. from Marquette University and his law degree from Villanova University. While in law school, he was a member of the Villanova Law Review. Following law school, Brian served as a law clerk to the Honorable Eldon B. Mahon of the U.S. District Court, Northern District of Texas. He joined Briggs in 1988.
