Welsh, Ellene

Bob is currently of counsel in the firm's Business Group. He is a former partner of the firm and a past chairman of the Business Group. He currently represents both established entities and entrepreneurs in the health services, health care, and life sciences industries. He has extensive experience in mergers and acquisitions work for public and closely-held corporations, as well as experience in domestic and international industry roll-ups. He works with family or closely-held businesses in planning and structuring the transition of ownership and control to the next generation. He has served as corporate counsel in resolving high-profile disputes among members of closely held corporations in the beverage business. Bob also has significant experience as counsel to banks, other institutional lenders and corporate borrowers in commercial, asset-based, secured and quasi-governmental lending transactions for both for-profit and not-for-profit entities.

He was recently selected by his peers for inclusion in the 2012 edition of The Best Lawyers in America in the field of Corporate Law.

• Represented not-for-profit hospitals, colleges and secondary schools in over $500 million in tax-exempt financings public and private
• Represented both buyers and sellers in acquisition or sale of closely-held manufacturing and industrial companies throughout United States
  Represented high-tech and biotechnology companies with technology licensing, joint venturing and strategic partnerships
• Served as counsel for multi-national corporations doing business in the United States, Canada and South America
  Represented buyer in roll-up of closely-held PetScan facilities and businesses throughout the United States and the ultimate sale to publicly-traded entity
• Served as lender's or borrower's counsel in commercial banking transaction secured, asset-based or unsecured
• Served as counsel to mergers & acquisitions targets and prospects in telecommunication, health services, beverage and manufacturing sectors
• Served as general corporate counsel to physician group practices and clinics, medical groups and clinics with over 600 physicians
• Served as counsel to joint ventures and strategic partnerships in biotechnology, health care and health services fields
