Kurt Linsenmayer, a partner in the firm's Employee Benefits &; Executive Compensation practice, focuses exclusively on employee benefits and executive compensation, regularly advising public and private companies on all aspects of the ERISA and tax rules applicable to executive benefits, pension plans and health and welfare programs. Kurt's representative clients include FORTUNE 500 and many other public and private companies. Significant areas of his practice encompass:
- Counseling clients on the implementation of Code Section 409A requirements, including the drafting of plan documents, executive agreements, open enrollment materials and corporate transactional documents;
- Counseling clients on design and compliance for 401(k) and defined benefit and other pension plans, compensation arrangements under Code Sections 162(m) and 409A, and change in control, severance and many other plans and agreements;
- Representing fiduciaries in satisfying their obligations under ERISA, including with respect to the investment of plan assets and prohibited transactions;
- Counseling clients on the ERISA provisions of derivative and other private equity investments for multi-billion dollar and other large pension trusts;
- Negotiating the benefit aspects of senior executive employment and severance agreements for public and private companies;
- Negotiating recordkeeper and trustee agreements for pension and welfare plans;
- Representing plan sponsors in defending government audits and investigations and in obtaining compliance statements and determination letters with the IRS and settlement agreements with the U.S. Department of Labor; and
- Supporting all benefits aspects of corporate acquisitions, divestitures and other transactions.
