Mergers and Acquisitions

Michael has represented numerous parties in acquisitions involving a wide range of industries. This representation has included buyers, sellers, management-owners, lenders and private equity groups. Representative transactions include:

• Acquisition of multiple health and nutraceuticals manufacturers on behalf of the United States affiliates of an international food products manufacturer and distributor;
• Acquisition of regional medical device and software companies as part of the acquisition strategy for a leading dental/medical products supplier;
• Debt and equity financing for acquisitions on behalf of mezzanine lenders;
• Purchase and sale of privately held portfolio companies on behalf of a family wealth group;
• Sale of a privately held screening and design company for family founder and second generation owners; and
• Sale of a medical software developer and licensor to a public multinational acquirer.

E-Commerce and Software Licensing

Michael works with technology companies and users of technology products and services in numerous matters, ranging from the drafting and negotiation of hardware value-added reseller and distribution agreements to software license and application interface licensing agreements. Representative transactions and ongoing counsel roles include serving as counsel to:

• A medical software developer and licensor in recurring license negotiations and placements with nationwide healthcare facilities;
• The United States distribution affiliates of a United Kingdom software and data storage software provider;
• A national retailer public company for a multimillion dollar back office inventory management and retail e-commerce system purchase; and
• A construction and real property developer for a multimillion dollar document management software and services system purchase;

Corporate Finance/Securities

Michael has experience on both the company and lender/investor sides of corporate finance. He has counseled participants through debt financings, private placements and entity restructurings. Representative transactions and work include:

• Representation of a mezzanine fund with $1 billion-plus assets under management in financings of mezzanine debt with equity participation;
• Representation of a midscale private equity group in light industry and services portfolio acquisitions and equity investments; and
• Representation of a major pleasure sporting products manufacture in divisional divestiture and restructuring.

Corporate and Commercial Contracts and Transactions

In addition, Michael has served as general corporate and business counsel on a wide array of business matters, including the negotiation of product sales and supply contracts for a variety of manufacturers and customers; employment agreement negotiation on behalf of both employers and executives/key employees; and negotiation of joint ventures.

Michael was named a “Rising Star” by Minnesota Law & Politics. Born in Dodgeville, Wisconsin, Michael received his B.A. in history with honors from the University of Chicago. He received his law degree cum laude from the University of Michigan Law School, where he was executive editor of the Michigan Journal of International Law. He joined Briggs in 1999.
