Pat Leddy has been the principal outside lawyer on scores of negotiated mergers and acquisitions, including many complex, multicountry acquisitions and divestitures. He serves as outside counsel to a number of public and private companies, providing advice on acquisitions, joint ventures, corporate governance, fiduciary duties, reorganizations, restructurings, and recapitalizations.
The public companies with which Pat has worked include ExpressJet, Harsco, Huntington Bank, KeyCorp, Parker Hannifin, Roadway, RPM International, Smucker's, STERIS, and Timken.
Representative acquisitions include: Smucker's $829 million acquisition of International Multifoods, Roadway's $591 million acquisition of Arnold Industries, Parker's $497 million acquisition of Wynn's International and $473 million acquisition of Commercial Intertech, and Sky Financial's $330 million acquisition of Waterfield Mortgage.
Representative divestitures include: Roadway's $1.1 billion merger with Yellow Corporation, Harsco's $340 million sale of its GasServ business, and Timken's $250 million sale of its Latrobe Steel business.
Pat has been an active member of the American Bar Association's Negotiated Acquisition Committee, including its Public Company Task Force, the Subcommittee on Recent Judicial Developments, and the M&A Market Trends Subcommittee. Pat is a frequent speaker on a variety of mergers and acquisitions and corporate governance matters.
