Mr. Struby serves as securities counsel to many of the firm's publicly reporting clients. Mr. Struby has represented issuers in offerings aggregating over $2.5 billion and assists publicly reporting clients with their reporting obligations and Sarbanes-Oxley compliance.

Mr. Struby also works with clients who are acquiring or selling businesses and in a variety of other commercial contexts. The transaction values of acquisitions that he has worked on aggregate over $240 million. He also has served as special counsel to independent board committees in sale of control contexts involving three public companies.

Significant representations include:

• Negotiating strategic manufacturing and distribution business alliance
• Private placement of $400 million in asset backed notes
• Issuance of $225 million in senior subordinated notes under Rule 144A/Reg S
• Public offering of $94 million of common stock
• Acquisition of $79 million in receivables
• Special counsel to Independent Committees in the sales of Stuart Hall, Inc. and
  La Petite Academy, Inc.
