Lisa Stater has a broad range of experience in the corporate area, with an emphasis on securities, including principally the representation of issuers in the public and private offerings of equity and debt securities, as well as securities compliance and other counseling for public companies. In her representation of public companies, she has handled numerous complex securities transactions such as exchange offers, tender offers, going private transactions, mergers and recapitalizations, as well as primary and secondary equity and debt offerings. She has an extensive background in private placements, including 144A offerings, and handles securities issues for private technology companies. Lisa also advises clients on all aspects of securities matters ranging from compliance with SEC and stock exchange regulations to structuring of transactions to achieve client objectives as well as on corporate governance issues.
Since 1998, Lisa has represented companies in the issuance of more than $15 billion in debt and equity securities, including the sale of more than $12 billion in 144A and registered offerings, primarily in the telecommunications industry. Her representative transactions include Sprint Nextel's $1.3 billion public offering of 8.375% notes due 2017 and Georgia Gulf's private exchange offers of convertible preferred stock and common stock for more than $725 million of its notes.
Lisa serves as the Atlanta Firmwide training partner. She has lectured and written on securities-related topics and has served as a member of the Atlanta Advisory Committee to the Practicing Law Institute and co-chair of their Securities Filings Seminar presented in Atlanta.
