Mr. Sparks has also successfully represented numerous independent insurance agencies nationwide in litigation against an internet marketing and software provider, Astonish Results, LLC.
Recent Experience
Some of Mr. Sparks' recent complex commercial litigation and corporate transactions experience includes the following:
- Astonish Results Litigation: represented over a dozen different independent insurance agencies in breach of contract, breach of fiduciary duty, and fraud lawsuits against Astonish Results.
- Represented a Texas limited liability company and certain of its members in a $20 million lawsuit against one of the company's members. Claims included breach of fiduciary duty (involving the usurpation of a corporate opportunity), fraud in connection with a stock transaction, and breach of contract.
- Represented a hotel franchisee in a breach of contract dispute concerning the $6.6 million purchase of a hotel. The dispute and negotiations concerned various subordination agreements, assignments, and modification of debt agreements.
- Represented a medical practice (orthopedic surgery) and physician in defense of post-judgment collection efforts involving a $1.5 million judgment.
- Represented various creditors, including individuals, corporations, and financial institutions, in actions to recover against debtors that defaulted on secured or unsecured promissory note obligations.
- Represented an electronics distributor in multiple breach of contract, fraud, breach of warranty, and Deceptive Trade Practices Act (DTPA) lawsuits involving various six-figure transactions, including several international transactions.
- Represented a nationwide chain of medical facilities (a publicly traded corporation) in various breach of contract lawsuits and in negotiations concerning substantial transactional matters.
- Represented a general contractor in a breach of contract lawsuit against a materials supplier that provided nonconforming goods.
- Represented the distributor and marketer of mobile phone products in litigation concerning breach of non-compete provisions.
