Dan has a broad-based commercial practice with an emphasis on real estate, general corporate affairs and resolution of business disputes. Dan has been active on behalf of financial institutions and real estate developers in matters involving real estate finance, complex zoning, land planning and land assembly, leasing, foreclosures and work-outs. Dan has assisted clients with asset and stock sales and purchases, anti-trust, structuring, restructuring and on-going advice to corporations, partnerships, limited liability companies and non-profit corporations. Dan is a neutral, commercial arbitrator for the American Arbitration Association.

Counsel to the shareholders of a health maintenance organization in a $50+ million stock sale to a major health care system

Counsel to numerous developers of planned communities in municipalities throughout southeastern Michigan. Activities include amendments to zoning ordinances, site planning, infrastructure issues, planned unit developments, public-private development agreements, leasing, and residential and mixed-use developments.

Co-Counsel to Big Three automotive manufacturer in class action lawsuit involving modifications to national retiree health care program.

Counsel to major U.S. based waste hauler in the sale of its ownership interest of a Canadian limited liability company which operated a wastepaper brokerage business to Canada's largest paper and pulp producer.

Counsel to key executive in multi-million dollar stock sale of a local company to a publicly-traded company.

Negotiation of construction contract for electrical infrastructure portion of major, regional public works project.

Negotiation of support service contracts on behalf of speciality Internet service company with Baby Bell telecommunications providers.

Counsel to U.S.-based high technology firm in forward triangular international merger with firm in United Kingdom.

Successful recovery of complicated series of debts on behalf of a lender-client involving judicial foreclosure, foreclosure by advertisement, defense of lender liability and injunctive proceedings in multiple state courts.

Successful defense of state criminal anti-trust prosecution against trade association and 186 members.

Counsel to a service provider in the successful defense of an extended, out-of-state arbitration proceeding.

Negotiation of complicated health care management agreement involving potential issues of corporate practice of medicine, self-referral and fraud and abuse issues, and, at the termination of the contract, when one party refused to perform, obtained summary judgment enforcing the contract.

Merger of California limited liability company into Michigan corporation in a transaction involving two high-technology firms.

Negotiated build-to-suit lease between developer and major international automobile company for 200,000+ square foot engineering/service facility.
