JAMES T. FORAN has wide ranging business law experience in the development, formation, structuring, purchase and sale, merger and dissolution of domestic and international business organizations and joint ventures, corporate governance, corporate communications, supply chain, internal control. risk management, investigations; insurance; intellectual property; ERISA; and executive compensation.
Mr. Foran’s background in business law blends executive and legal experience. Most recently, he served as General Corporate Counsel at PSEG. In addition to his responsibilities as General Corporate Counsel, Jim also served as an officer and/or director of a number of its subsidiaries and as a member of its Disclosure and Employee Benefits Committees.
In his capacity as PSEG's General Corporate Counsel, Jim provided comprehensive legal advice, counsel and representation to the PSEG family of companies with respect to their business, financial, banking and commercial transactions. With more than thirty years of transactional experience, his expertise is a widely recognized by the legal and financial community. His legal opinions have been accepted in more than $40 billion of PSEG financial transactions.
Prior to assuming his position as General Corporate Counsel, Jim had more than ten years of combined civil and criminal trial experience, first as a Deputy Attorney General in the nascent NJ Division of Criminal Justice and later as a Trial Attorney with PSE&G.
Jim is a member of the American Bar Association and its Business and Public Utility Law Sections and of the New Jersey Bar Association and the American Corporate Counsel Association. He has been named to Who's Who in American Law. He is the past long-time Chair of the Legal Advisory Committee of Nuclear Electric Insurance Limited, an industry captive Bermuda company and is the recipient of its highest leadership award.
Jim has also lectured and taught business law on the post-graduate level for more than ten years. He was a co-author of the stranded cost securitization provisions of the New Jersey Electric Discount and Energy Competition Act. In conjunction with the New Jersey Law and Education Empowerment Project at Seton Hall Law School, he organized and led a team of PSEG Law Department volunteers in the development and implementation of an innovative, highly successful summer legal internship for disadvantaged high school students, publicly commended by Newark Mayor Corey Booker and recognized by the New Jersey Law Journal in granting its 2010 Legal Department of the Year Award for Pro Bono and Community Service to the PSEG Law Department
Jim has also been active in various charitable and community service organizations. A past president of the Verona Jaycees, he is the recipient of its Distinguished Service Award. He has served as the Public Defender of the Township of Verona and as Chair of its Ethics Committee. A former trustee of the New Jersey Historical Society, he is currently a member of the Advisory School Board of Our Lady of the Lake School and a member of the Verona Lions.
