Calling on 50 years of corporate practice experience, Bob has chaired both the Business Services Group and the estate practice area. He works with a wide variety of clients.
For clients considering acquisitions, he frames the legal and tax structures of agreements, prepares letters of intent, and negotiates contracts. Next, he works with Corporate Department attorneys to complete due diligence, Hart, Scott, Rodina Act filings, financing, and SEC disclosure documents—and then he closes the deal.
For business clients, Bob has developed employee benefit plans, pension and profit-sharing plans, bonus programs,
ESOPS, and compensation packages that include phantom stock plans, qualified and non-qualified stock option plans, and stock appreciation rights.
For clients with commercial litigation issues, Bob works with the Trial Department on areas such as product liability, antitrust, contract enforcement, shareholder disputes, condemnation, and dissolution proceedings.
For closely held companies, Bob has developed plans to ensure corporate succession, buy-sell agreements, funding analysis, retirement and disability program review, control devices/voting trusts, and estate planning devices such as life insurance trusts and family gifts.
For start-up companies, he has assisted in the development of business plans and arranged bank financing. He has also prepared private placement memorandums and done the securities work on IPOs.
For estate-planning clients, Bob prepares wills, inter vivos trusts, charitable remainder trusts, insurance trusts, health care proxies, and living wills.
