Mr. O'Kain has more than 35 years' experience as a business lawyer. During his time in practice he limited his focus to matters of corporate planning, real estate, business, contractual documentation, formation, dissolution, acquisition and divestiture. Representative clients include public companies as well as the owners of closely held businesses. The range of matters he has worked on include those arising out of purchase/sale of single assets, restaurant and hospitality businesses, marketing of intellectual properties, the service and franchise businesses, and the myriad issues affecting high net worth individuals.
He has formed scores of new enterprises and represented hundreds of businesses in matters ranging up to $200,000,000. He has also been an owner, director, officer, and principle manager of both commercial real estate projects and intellectual property businesses.
He works closely with business owners to plan for the transfer of their assets to their children, grandchildren and charities, and to develop plans for the succession of ownership in their companies using a variety of techniques, including buy-sell agreements, family limited partnerships and limited liability companies, irrevocable trusts, life insurance liquidity plans, and other creative strategies. Mr. O'Kain regularly works with clients on the formation and operation of captive insurance companies.
From 1980 to 1990 Mr. O'Kain was member and shareholder of Bruck & Perry, attorneys of Newport Beach, California; from 1990 to 1995 he was senior shareholder and founder of O'Kain & Joy, attorneys of Irvine, California.
From 1987 to the present, Mr. O'Kain has been managing member of Strategic Electronics LLC, which entity is the holder and licensor of his patents for the on-label tester battery, flashlight with battery tester, and other patents.
As co-owner of Nova Power LLC, he has developed a business consultation practice in the Pacific Northwest focusing on alternate energy projects including wind farms in the Columbia Gorge.
He currently serves as a director of Dale Ebel Ministries and recently stepped down as chair of Housecall Providers, Inc., both charities in Oregon.
He has previously organized or served on the boards of the following organizations: The Crean Foundation (organized and general counsel until 1995), Army and Navy Academy (board member 1991-2003), Children's Bureau (board member 1992-2001), Whittier Law School (advisory board member 1999-2002), and New Directions for Women, Inc. (1992-1995).
He served as Judge Pro Tempore, Orange County Superior Court, while serving as a member of the arbitration panel, intermittently from 1980 to 1994.
