Adam Munson counsels public and private company clients in a wide spectrum of domestic and international corporate matters, including US and cross-border mergers and acquisitions, private equity transactions (including leveraged buyouts), joint ventures, commercial contracts, and general corporate counseling.
Representative matters include: The Timken Company's disposition of its global needle roller bearings business to Japan's JTEKT Corporation; Axsys Technologies' merger with General Dynamics; Harsco Corporation's sale of its worldwide gas services business to an affiliate of Wind Point Partners; and Macy's $17 billion acquisition of The May Department Stores Company.
Adam also has provided substantial advice to Cabot Corporation, Cliffs Natural Resources, CTS Corporation, Diebold, Iron Ore Company of Canada, The J. M. Smucker Company, The North American Coal Corporation, Parker Hannifin, PolyOne Corporation, The Riverside Company, and the Washington Division of URS Corporation.
Adam's pro bono activities include serving on the board of directors (Co-Chair, Finance and Development Committee) of Cleveland Reads, a nonprofit organization dedicated to transforming lives through literacy by serving as Northeast Ohio's leading literacy provider for children, youth and families. He also serves as a third grade reading tutor at Cleveland's Case Elementary School and as a volunteer instructor in the Cleveland Metropolitan Bar Association's 3Rs Program, where he is part of a team that teaches constitutional law to Cleveland-area high school students. He is a member of the Cleveland Metropolitan Bar Association and the Ohio State Bar Association.
