Miester, Alvin C.

Mr. Mentzel is a partner in the Business Department and interim co-chair of the Business and Corporate Law Group.  His practice focuses primarily on mergers and acquisitions and financing transactions.  Mr. Mentzel also serves as outside general counsel to clients across a broad range of industries, assisting them with their legal challenges. 

 Mr. Mentzel represents clients in the traditional manufacturing sector, including automotive products and specialty chemicals; the pharmaceutical and biotech industries, including international manufacturing and distribution of drugs and medical devices; health care providers, including medical practices and institutions; and service providers, including insurance agencies and brokers, as well as non-profit corporations. 

Mr. Mentzel represents clients at all stages of the commercial life cycle, from formation, choice of entity and related corporate governance through growth by way of private equity or institutional debt financing.  He also handles mergers and acquisitions for clients in their quest to either achieve strategic growth or to monetize their investment.

Mr. Mentzel's recent transactions include representation of a multi-national pharmaceutical manufacturing and development company in the sale of a product to a European based specialty pharmaceutical marketing company; the representation of a pharmaceutical development and manufacturing company with respect to a private equity investment by a venture capital fund; representation of a closely held manufacturer of medical equipment in a sale to a strategic buyer; and the representation of a multi-state retail furniture business in a sale to a private equity firm.

Mr. Mentzel received his B.S., summa cum laude, from Drexel University in 1977 with a major in accounting and finance.  He received his J.D. in 1980 from the University of Pennsylvania School of Law.  Prior to joining White and Williams LLP, Mr. Mentzel was a member of the corporate legal department of Conoco Inc.  He is admitted to practice in Pennsylvania and is a member of the Philadelphia Bar Association.
