Kathleen McLaurin has more than 30 years of experience in advising clients in a wide variety of complex transactions with particular expertise in the oil and gas industry. She has extensive experience in mergers, acquisitions, and dispositions involving publicly traded and privately held companies. Within the oil and gas industry, Kathleen represents companies involved in exploration and production, midstream services, gas utilities, gas pipelines, oil field services companies, and gas marketing companies. She regularly advises clients in commercial transactions, general corporate and securities law, and corporate governance matters.
Kathleen's recent engagements include Hunt Petroleum's $4.2 billion merger with XTO Energy, the representation of private equity investors in the formation of a mezzanine energy investment partnership, the negotiation of an oil and gas lease, a gas supply agreement and joint venture on behalf of a large manufacturing company for development of Marcellus Shale property, and the representation of a fund investing in distressed assets and the accompanying purchase of more than $200 million in assets pursuant to section 363 of the Bankruptcy Code.
Kathleen is a member of the State Bar of Texas, the State Bar of Georgia, and the Dallas Bar Association. She is a Fellow of the Texas Bar Foundation and is board certified in oil, gas, and mineral law by the Texas Board of Legal Specialization.
