Bill McKay practices in the areas of employee benefits and executive compensation and works with employers to design employee benefit programs that meet the various and changing needs of their workforces. He has extensive experience advising clients in the ERISA and tax aspects for all types of benefit programs, including qualified plans; nonqualified retirement and deferred compensation plans; incentive compensation plans, such as stock options, restricted stock, performance share and restricted stock units; and all types of welfare plans, including retiree medical and related funding vehicles such as VEBAs. He also deals with compliance aspects of employee benefit plans as they relate to the Internal Revenue Service and other government agencies and advises clients on fiduciary duties regarding plan investments, plan audits, and operational defect correction programs. He has considerable knowledge in the areas of the golden parachute and the $1 million cap on compensation rules of the Internal Revenue Code. Bill negotiates and drafts employment, severance, and change-in-control agreements and advises on security devices for nonqualified arrangements.

Bill has extensive experience handling employee benefits and executive compensation issues in corporate acquisitions and dispositions, including domestic and multinational transactions, as well as in post-transaction integration issues, such as employee leasing and plan consolidation. His work on cross-border transactions has included negotiation of employee benefit issues involving pension full funding protections and plan asset transfers in transactions involving more than 60 countries.

Bill is a member of The Chicago Bar Association (Employee Benefits and Federal Taxation Committees).
