Lisa McGimpsey, an associate in the firm's Business practice, focuses her practice on an array of matters involving federal income taxation, including mergers and acquisitions, international and cross-border transactions and reorganizations, executive compensation arrangements, formation and operation of charitable organizations and federal tax controversies.
Lisa's representative experience includes analyzing and advising on federal tax issues in connection with:
- Taxable and tax-free mergers, acquisitions, reorganizations and other business transactions;
- International and cross-border transactions and reorganizations, international business operations and investments in foreign entities;
- Various types of executive compensation plans and arrangements (including performing golden parachute analysis for public and private companies);
- Organizing and operating charitable organizations and applying for and obtaining tax exempt status (including negotiating with the Internal Revenue Service during the application process);
- Settlements and damage awards in various litigation contexts; and
- Tax controversies before the Internal Revenue Service.
