Bill has substantial experience advising clients in myriad matters relating to advertising practices, including unfair competition, publicity and privacy rights, e-commerce, advertising claims substantiation, and sweepstakes/contests. Bill also represents advertising agencies and advertisers in the negotiation of client/agency agreements, media buying agreements, sponsorship agreements, and consulting agreements.
As former general counsel of one of the world's largest healthcare advertising agencies, Bill's responsibilities included counseling senior management and all operating divisions in connection with these and other critical issues, advising on all of the agency's business affairs and services, and overseeing all contract/licensing negotiations, corporate transactions, litigations, and employment matters.
Bill counsels clients in connection with a broad range of intellectual property (IP) and information technology (IT) transactions, including those involving software licensing and development, outsourcing, application service providers, Web site development and hosting, Internet service providers, SaaS offerings, channel partners (including VAR, distribution/resellers, and OEMs), music and other content, and other intellectual property rights. Bill also provides IP and IT advice in connection with the firm's Mergers & Acquisitions and other practice areas, including drafting and negotiating intellectual property licenses, assignments and transition services agreements.
Bill is a Certified Information Privacy Professional (CIPP/US), and regularly advises clients in a number of industries with regard to data privacy and security issues. Bill has advised clients with respect to information security policies, privacy policies and privacy notices, data and information security audits, HIPAA matters, children's privacy, wiretap and surveillance matters, employee monitoring, contractual obligations, security breach and incident responses, cross-border data transfers and other matters.
Bill has represented clients, including major financial institutions and insurance, consumer products, pharmaceutical, and energy companies, in matters before federal and state courts, the Food and Drug Administration, the Federal Trade Commission, the National Advertising Division, the United States Patent and Trademark Office, and the World Intellectual Property Organization.
