David joined the firm in 1965 and is currently of counsel. He was a partner in the firm until 2006 and served as Managing Partner and a member of the Management Committee until March of 2001. His practice focuses on corporate finance, including IPOs, mergers and acquisitions, private and public debt and equity offerings, venture capital formation and operation, broker dealer operation, and securities regulation.
David has over 40 years experience representing privately-held and publicly-traded companies with extensive experience in federal securities laws. He has acted as company counsel and underwriter's counsel in a number of public offerings. He has also served as a director of a number of public and private companies, including a French public company.
He was recently selected by his peers for inclusion in the 2012 edition of The Best Lawyers in America in the field of Corporate Law.
Representative Matters
- Served as lead counsel in connection with a roll-up of eight companies simultaneous with a $75 million bond financing and subsequent private/public debt swap, followed by a roll-up of two additional companies simultaneous with a $38 million IPO
- Represented numerous start-up companies in connection with business formation and equity financing, including stockholder agreements, buy-sell agreements, non-disclosure agreements, LLC operating agreements, qualified and restricted stock agreements and business contracts
- Served as lead counsel in connection with a $73 million IPO
- Served as general counsel for companies in the manufacturing, service, biotechnology, financial services, technology and communications industries
- Served as general counsel for a parent company in the hedge fund industry
- Served as general counsel for broker dealers in all aspects of business operation, including regulatory compliance and served as underwriter's counsel for public debt and equity securities
- Negotiated and drafted numerous stock purchase and sale agreements, asset purchase and sale agreements and merger agreements
