Doug is an associate in the Business Law Section of Briggs and Morgan, Professional Association, and he practices primarily in the areas of:
Mezzanine Finance
Negotiation and documentation of 14 transactions resulting in the placement of more than $150 million of subordinated debt and equity investments used to acquire companies in 12 different industries. The mezzanine funds with whom Doug works have placed nearly $1 billion of capital since 2000.
Mergers and Acquisitions
Doug has completed nearly two dozen transactions in the merger and acquisition arena since May 2006, with transaction values ranging from $4 million to $40 million. Doug has also participated in larger, public company acquisitions with deal values ranging from hundreds of millions to billions of dollars. Represented buyer in the equity purchase of a $7-million data imaging company.

Represented buyer in its asset purchase of a $30-million manufacturing division of a publicly traded company.

Represented Fortune 500 client in its strategic sale of several partnership interests in several subsidiaries.

Represented Fortune 1000 client in the consummation of seven strategic business acquisitions throughout the Eastern and Midwestern United States.

Represented private equity group in its acquisition of manufacturing and distribution company with $100 million in annual sales.

Represented British software company in its merger with a U.S.-based software client.
General Commercial Representation
Doug works with a variety of small and large companies on general commercial matters. He regularly advises a rapidly expanding small business client on general corporate matters, including corporate strategy and structure. This work has included advising the client on the re-acquisition of assets and continuation of business following the bankruptcy of a joint venture company in Europe, acquisition and operation of an Asian subsidiary, and other general commercial matters. Doug has formed numerous corporations, limited liability companies and partnerships, and has prepared private placement memoranda and other corporate funding related documentation. Finally, Doug negotiates and drafts supply agreements for a large, multi-national corporation with supply arrangements in countries throughout Southeast Asia, Eastern Europe and South America.
Professional Sports Commercial Law
Doug is an active member of the team of Briggs and Morgan lawyers that represents two of Minnesota ’s professional sports franchises in general commercial matters and league specific issues. Doug’s work has included counseling one client on a myriad of legal issues relating to player and league contracts, employment and privacy law, and electronic discovery, and counseling another client on matters relating to corporate strategy and structure.
Born in Duluth, Minnesota, Doug received his B.B.A. with high distinction from the Ross School of Business at the University of Michigan, where he concentrated in the areas of corporate strategy/international business and finance. He graduated cum laude from the University of Minnesota Law School, where he was an article submission editor for the Minnesota Law Review. Doug joined Briggs in 2006.
