Colleen Laduzinski is a federal tax lawyer practicing in the areas of corporate tax; bankruptcy tax; taxation of consolidated groups, reorganizations, mergers and acquisitions, distressed transactions, financings, securities offerings, private equity deals, and litigation settlements; and federal tax controversy matters.

Colleen has extensive experience in providing tax advice to debtors in bankruptcy, notably Chrysler, Dana Corporation, Kaiser Aluminum, and Williams Communications; creditors and committees in chapter 11 cases, such as Chemtura Corporation and Qimonda; investors and lenders of debtors; trustees; and liquidating trusts. Colleen's mergers and acquisitions experience includes taxable and tax-free transactions, such as Chrysler's asset sale to Fiat-led New Chrysler, Continental Airlines' merger with United, International Coal Group's acquisition by Arch Coal, and International Steel Group's acquisition of Bethlehem Steel. Colleen provides tax advice on stock offerings and issuances of investment-grade notes, high-yield notes, and convertible notes, as well as exchanges, tender offers, and consent solicitations, for underwriters such as Jefferies & Company and issuers such as Frontier Communications, Nationwide, and Omnicom. She advises on private equity deals for Aurora Resurgence, Carlyle Group, and J. F. Lehman; and financing agreements for borrowers such as Dana Corporation, Diebold, and TransDigm, and lenders such as Citigroup, Citizens Financial Group, and Jefferies Finance.

Colleen is an author of two bankruptcy tax portfolios titled Jenks, Ridgway, Purnell, and Laduzinski, "Corporate Bankruptcy," Tax Mgmt. (BNA) No. 790-2d (2012) and "Corporate Bankruptcy--Special Topics," Tax Mgmt. (BNA) No. 791 (2012). In addition, she is one of the New York Office coordinators for Jones Day's New Lawyers Group.
