Libby Kitslaar oversees the corporate practice in Jones Day's Chicago Office, and she has been the principal lawyer in a wide variety of U.S. and international M&A and corporate finance transactions, including complex acquisitions and divestitures, restructurings, public offerings, and joint ventures. In addition to her transactional work, Libby advises clients and counsels boards of directors, special committees, and investors on a broad range of corporate governance and compliance matters, including Sarbanes-Oxley, executive compensation, fiduciary duty, takeover preparedness, and disclosure policy and related issues.
Libby's representative transactions include a wide variety of global and complex, cross-border acquisitions, including representing Abbott Laboratories on its $6.9 billion acquisition of BASF's worldwide pharmaceutical business and its $2.8 billion cash tender offer for Advanced Medical Optics; Veolia on its $1.9 billion sale of its U.S. solid waste business; Bridgestone Corporation on its $1.05 billion merger with Bandag; Duchossois Industries on its acquisition of Milestone AV Technologies and its $315 million cash tender offer to acquire AMX Corporation; Galileo International on its $3.2 billion merger with Cendant Corporation; Rykoff-Sexton on its $1.4 billion merger with JP Foodservice; JohnsonDiversey on its $2.6 billion recapitalization and on its $1.6 billion acquisition of Unilever's worldwide institutional cleaning business; and The Stanley Works on its $310 million acquisition of Best Access Systems.
