Real Estate: Experience includes both general real estate and real estate finance (asset based, Fannie Mae, conduit, mezzanine), emphasizing the negotiation of the sale, acquisition, lease, construction and development of undeveloped land, commercial, industrial and residential projects, including office buildings, multi-family projects, mini/industrial warehouses and single family residential developments. Experience also encompasses interim and permanent loan transactions, workouts involving non-performing loans and assets, foreclosures, mechanics lien claims, commercial leasing, construction agreements, management contracts, land use agreements, long term ground leases and condominium development. Clients include custom home builders, commercial construction entities, lenders, developers, property management firms and real estate investment entities.
Sports and Entertainment: Sports practice includes the negotiation, drafting and consummation of commercial endorsement contracts, personal appearance agreements and the licensing of publicity rights for current and former professional athletes. Practice also encompasses advice and counsel to management firms and agents regarding scope of permissible activities and the drafting and consummation of player-agent agreements. Client representation includes PGA Tour, PGA Tour Members, a former Major League Baseball Player and Major League Baseball Coach entities which manage the careers of various members of the as well as former and current members of the National Football League in connection with investment and endorsement projects.
Entertainment practice includes the negotiation and drafting of recording contracts for emerging artists and independent labels, producer agreements and various publishing and royalty agreements in the literary context.
Corporate Securities: Experience includes advice and counsel to clients regarding the acquisition and sale of businesses (stock and asset transactions), capital financing transactions, corporate governance, franchise operations, negotiation and drafting of contracts and commercial agreements, and secured transactions. Other areas of substantial practice experience include the representation of start-up and existing ventures in the negotiation, structuring, drafting, implementation and financing of limited partnerships, limited liability companies, corporations and joint ventures. Practice also encompasses the negotiation and drafting of agreements relating to shareholders, executive employment (including parachute and non-competition provisions), strategic and succession planning.
Intellectual Property: Experience includes the drafting and negotiation of agreements regarding the development, licensing, disposition and protection of intellectual property rights in the technology transfer, product development and employment agreement context. Practice also encompasses trademark and copyright prosecution and management of intellectual property and trade secret infringement litigation.
