Cecily Jackson concentrates her law practice in the areas of tax and corporate law, with particular emphases in the representation of tax-exempt organizations, social enterprises and small businesses. For over five years Cecily served as a Senior Staff Attorney in Public Counsel’s Community Development Project. Prior to joining Public Counsel, Cecily was an Associate in the Tax Departments of Latham & Watkins in Los Angeles and Miller & Chevalier, the nation’s oldest and largest tax law firm, in Washington, DC. Cecily also has over three years experience in nonprofit capacity building for economic development organizations.
Cecily’s representation of nonprofit organizations includes the following areas:
- Corporate governance issues, including article and bylaw amendments and board resolutions, advising on conflicts of interest, counseling on compensation issues, and compliance with statutory requirements;
- Creation of for-profit subsidiaries and unrelated business income tax issues;
- Nonprofit mergers;
- Forming and dissolving California nonprofit organizations;
- Drafting and revising loan fund documents;
- Drafting, negotiating, and revising contracts, including, among others, joint ventures with for profit partners, independent contractor agreements, licenses, commercial leases, and fiscal sponsorship agreements; and
- Employment law.
- Cecily’s representation of small businesses includes the following areas:
- Corporate governance issues, including article and bylaw amendments and board resolutions, and compliance with statutory requirements;
- Drafting, negotiating, and revising contracts, including, among others, independent contractor agreements, sales agreements, licenses, and leases;
- Advising on choice of entity and forming partnerships, incorporating corporations, and organizing LLCs;
- IRS appeals; and
- Employment law.
