Neil Simon practices primarily in the capital markets, related corporate finance, and general corporate law areas, representing both public and privately held entities. He has considerable experience representing issuers and financial institutions in capital raising transactions, such as public and private equity and debt issuances, recapitalizations, and restructurings, as well as tender offers and asset-based transactions. Neil regularly works with and counsels SEC reporting companies on periodic and other public reporting and disclosure obligations, Sarbanes-Oxley compliance requirements, stock exchange rules, and other general securities law compliance issues.
Neil's significant industry experience includes financial institutions, solar, chemicals, manufacturing, health care, insurance, and telecommunications, among others. Clients with whom Neil works closely on transactional and counseling matters include Crawford & Co., Eastman Chemical Company, International Textile Group (a WL Ross & Co. portfolio company), and SunPower Corporation.
Prior to returning to the Firm in 2003, Neil was in-house counsel for a publicly traded company with more than $1.5 billion in annual revenue, where he maintained primary responsibility for SEC and other corporate governance matters and was instrumental in the implementation of various Sarbanes-Oxley Act initiatives. Neil has published multiple articles, including coauthoring "Safety in Cyberspace: Effective Use of Disclaimers and Safe Harbors for Forward Looking Information" with Jones Day Atlanta Partner-in-Charge Lizanne Thomas, and has recently lectured on the topics of audit committees and their obligations.
As a former tennis professional, Neil continues to participate in local and regional charity fund-raising tennis tournaments. He is a member of the State Bar of Georgia and the Atlanta Bar Association.
