Brian Holmen advises public and private companies regarding the design, implementation, and administration of executive compensation and employee benefit arrangements. He counsels clients on tax rules that apply with respect to executive compensation, deferred compensation, and equity compensation arrangements, including Sections 409A, 162(m), 280G, and 457 of the Internal Revenue Code. Brian also assists clients with ERISA and securities law requirements that apply with respect to compensation and benefit programs. He frequently negotiates and drafts employment, severance, and change-in-control agreements. He also has significant experience advising clients regarding compensation and benefit issues that arise in corporate acquisitions, dispositions, and mergers.
While an associate at Jones Day, Brian spent close to one year seconded to the legal department of a Fortune 500 company to serve as an in-house executive compensation attorney.
