Michael E. Sheehan is the former general counsel of Sallie Mae, a Fortune 300 company and the largest provider of education finance in the nation. Before his appointment as general counsel, Mr. Sheehan served as Sallie Mae’s chief securities counsel and managed all securities-related matters, including all securities filings (Forms 10-K, 10-Q, and 8-K, registration statements, proxy statements, Section 16), securities law compliance and disclosure matters (Reg FD, earnings releases, Reg G, disclosure committee (Chairman)). After leaving Sallie Mae, Mr. Sheehan started a consulting and law practice concentrated on corporate compliance with a general emphasis on securities law and a special focus on preparation for and compliance with the Dodd-Frank Wall Street Reform and Consumer Protection Act. In early 2012, Mr. Sheehan expanded his practice to include franchise law and franchise consulting. He is the author of more than 40 articles about all aspects of franchising and is a regular contributor to NuWire Investor as its franchise law expert. As a franchise lawyer, Mr. Sheehan represents both franchisees and franchisors, including drafting and reviewing franchise disclosure documents and franchise agreements, designing franchise compliance programs, preparing for discovery day and working with state franchise law authorities.
