John has been a partner of the firm since it founding in 2004. Prior to joining the firm, John was with the national law firm of Sheppard, Mullin, Richter & Hampton, in its San Diego office.
Areas of Practice
Corporate and Business Transactions – John has represented businesses of all sizes in a variety of transactions, including: General Corporate Representation – Counseling businesses with respect to entity formation, governance, ownership, capitalization and structure; Advising clients with respect to operations, human resources, and contract issues;
Emerging Company Representation – John has represented businesses of all sizes in a variety of transactions. He has counseled businesses with respect to entity formation, governance, ownership, capitalization and structure, and routinely negotiates and prepares contracts on behalf of his clients. John has also advised and served as general counsel to emerging companies in a variety of industries, including information technology, life sciences, medical device, and healthcare industries. John has represented both venture capital firms and companies in venture capital financings (including complex multi-round financings and re-capitalizations), bridge financings, and convertible debt financings. John has represented health care providers for many years, ranging from small physician medical practices to large multi-specialty medical groups, and has also represented numerous health care management companies and healthcare facilities, including ambulatory surgery centers and imaging facilities. John has also represented both buyers and sellers in a variety of merger and acquisition transactions, including complex stock and asset purchases and sales, and mergers and reorganizations.
General Commercial Litigation – John has represented large and small companies in connection with a wide variety of business disputes and litigation including: shareholder and partnership disputes; contract disputes; trade secret misappropriation litigation in both state and federal courts; property disputes; collection matters; insurance coverage and insurance "bad faith" litigation; and environmental litigation. He has litigated and appeared in state and federal courts at the trial and appellate courts, and has represented clients in arbitration and mediation proceedings.
Education, Professional Qualifications and Activities -- John received his B.A. from the University of San Diego in 1992, and his J.D. from the University of Southern California School of Law in 1995. While in law school, he served as a Senior Editor of the Southern California Interdisciplinary Law Journal.
Outside Interests -- In his spare time, John enjoys softball, skiing, travel, reading and spending time with his family.
