R. Alan Deer is a Partner in the Birmingham office where he concentrates his practice in the areas of banking, corporate, and securities. In particular, Mr. Deer has extensive experience in the following:
· Bank regulatory and compliance issues, including advice relating to Alabama's consumer credit statutes and regulations
· Complex commercial lending
· Bank and financial institution mergers and acquisitions
· Public company representation, including advice relating to proxy solicitations, shareholder proposals, Sarbanes-Oxley, periodic reporting and disclosure issues
· Corporate governance, including advice to directors with respect to legal issues and fiduciary duties in the context of strategic transactions.
Prior to joining Balch & Bingham, Mr. Deer was executive vice-president, general counsel and corporate secretary for one of the top ten bank holding companies in the US, providing legal oversight for mergers and other financial transactions valued in excess of $15 billion.
In addition to his professional commitments, Mr. Deer is an adjunct professor at the Cumberland Law School at Samford University in Birmingham, where he teaches banking law.
